McAnally Having Dispute With ASCAP

Songwriter/SmackSongs CEO/Monument Co-President, Shane McAnally (left) is fighting a dispute with ASCAP, saying PRO owes him more than $1 million.  McAnally resigned from ASCAP in 2013 and signed with Global Music Rights.  According to a press release from McAnally's attorney, KTR Law Group's Jason Turner, says, "Upon his termination of his agreement with ASCAP, McAnally believes they began to retaliate with an inexplicable delay in rendering statements to him – withholding accountings and payments for over nine months. When the delayed statements finally arrived, McAnally’s royalties, including royalty payments for current hit songs such as "Take Your Time" co-written and performed by Sam Hunt, dropped precipitously. Although ASCAP continued to license eight more No. 1 country radio hits written by McAnally to radio after his departure, all of those hits resulted in a significantly lower payment to McAnally than to any of his ASCAP co-writers for the same songs, in the same period on the same radio stations."

In response, ASCAP President Paul Williams says, "Shane's claims are completely untrue and it's disappointing to see him and his team resort to this kind of dishonest PR campaign. ASCAP is of, by and for creators. As creators, our member-elected Board cares deeply for all of our songwriters and we act for the greatest good of all concerned, whether hugely successful or just starting out. For 104 years, the most celebrated of America's songwriters have counted on that fairness. Shane was paid all of the money he was owed after he left ASCAP and went to GMR according to rules that are available to any member. He had the opportunity to make his case in front of the independent Board of Review, which is made of his songwriter and publisher peers that are elected by our membership. He will again have the chance to make his case through outside arbitration. I hate to see any songwriter disappointed, but in this case, has been treated and compensated fairly."

Fourth Extension to iHeart Negotiations announced Wednesday Morning

A fourth extension to the negotiations was announced Wednesday morning (March14) as iHeart and lenders continue day-to-day negotiations to restructure iHeart's $20 billion of debt.  The latest extension was the second 24-our extension.  It expires at 11:59 tonight.

That's because another extension of the forbearance agreement was signed by iHeart and lenders on Monday, however it was only for 24 hours, and it expired last night at 11:59.  It was the third extension.  Following each extension, news of progress-or lack of progress-has come out early the next morning.  That didn't happen this morning at the typical time of about 7 a.m.

The first two extensions were followed by three more days of negotiations.  This third extension was extended by only one day. That could indicate that the two sides are close to an agreement.  It could also indicate they are ot close and there's a bankruptcy filing to follow.

Both sides have been swapping "term sheets" for several months now but have been unable to agree on a final plan for the restructure.  What seems to the the goal is for iHeart to come out of the negotiations with about $5.75 billion in new debt as opposed to the $20 billion it has been unable to trim down for several years.  The other possibility is that an agreement cannot be reached and the company has to file for bankruptcy.

iHeart skipped a $106 million interest payment on February 1 which set off a 30-day clock before a possible default.  Just as that 30 days was about to expire, the two sides agreed to a 72-hour extension to continue to try to negotiate a deal.  Another $138 million in interest payments also went unpaid by iHeart on March 1, setting off another 30-day clock on a possible default, as the two sides continued discussing a possible agreemetn to restructure iHeart's debt.

More to come.

iHeart Pushes Back Expected Reorganization

As was reported here last week, iHeartMedia had once again pushed back an expcted reorganization.  In a 8-K filing iwht hte SEC they wrote on March 8, "iHeartMedia and the Consenting Lenders extended the term of the Forbearance Agreement to the earliest to occur of (Monday) March 12th, 2018 at 11:59p [CT] and an event of default under the Credit Agreement other than those that resulted in the entry into the Forbearance Agreement."

The move gave iHeart and its creditors the rest of the week, and the weekend, to come to an agreement.

The company updates today (3/12), with a new SEC 8-K filing which notes a revised proposal to noteholders, lenders and equity holders to restructure the company's debt.  In it, they say, "  No agreement has been reached with respect to the above discussions or the terms set forth in Exhibits 99.1 and 99.2, and discussions remain ongoing. iHeartMedia will continue to work with its principal creditor and equity constituents to develop a consensual transaction to allocate consideration among its various stakeholders. There can be no assurances that a consensual transaction or any agreement will be reached."
