Taylor vs.BMLG

In an on-going disagreement about contractual issues, Taylor Swift and Itaca Holdings LLC's Scooter Braun as well as Big Machine Label Group's (BMLG) Scott Borchetta have raised their latest concerns. Approxiately one year ago, Swift announced her exit from BMLG and her new contract with Universal Music Group'ls Republic Records.

When Ithaca Holdings LLC bought Big Machine Label Group reportedly for $300 million she took to expressing her displeasure. Most recently she is scheduled to perform a medley of her older hits as part of her American Music Awards (AMA) honor of Artist of the Decade on November 24. According to Swift, that appearance is now "a question mark."

Swift wrote an open letter to her fans via social media titled "Don't Know What Else To Do" to her fans on November 14.  In it she said Braun and her former label head, Borchetta are not letting her include her older hits from her six-album catalog recorded under BMLG in the AMA performance. She says they have refused to allow her to perform her older songs "because they claim that would be re-recording my music before I’m allowed to next year.”

She also shared that a documentary on her life is in the works with Netflix and says that Braun and Borchetta are not allowing the use of the songs recorded when she was with BMLG to be used in this documentary. According to Swift, that older material would only be allowed if she agreed "To not re-record copycat to not re-record copycat versions of my songs next year (which is something I’m both legally allowed to do and looking forward to) and also told my team that I need to stop talking about him and Scooter Braun.”

Swift then took to social media in a message to her fans.  It is below:

"Guys – It’s been announced recently that the American Music Awards will be honoring me with the Artist of the Decade Award at this year’s ceremony. I’ve been planning to perform a medley of my hits throughout the decade on the show. Scott Borchetta and Scooter Braun have now said that I’m not allowed to perform my old songs on television because they claim that would be re-recording my music before I’m allowed to next year. Additionally — and this isn’t the way I had planned on telling you this news — Netflix has created a documentary about my life for the past few years. Scott and Scooter have declined the use of my older music or performance footage for this project, even though there is no mention of either of them or Big Machine Records anywhere in the film.

Scott Borchetta told my team that they’ll allow me to use my music only if I do these things: If I agree to not re-record copycat versions of my songs next year (which is something I’m both legally allowed to do and looking forward to) and also told my team that I need to stop talking about him and Scooter Braun.

I feel very strongly that sharing what is happening to me could change the awareness level for other artists and potentially help them avoid a similar fate. The message being sent to me is very clear. Basically, be a good little girl and shut up. Or you’ll be punished.

This is WRONG. Neither of these men had a hand in the writing of those songs. They did nothing to create the relationship I have with my fans. So this is where I’m asking for your help.

Please let Scott Borchetta and Scooter Braun know how you feel about this. Scooter also manages several artists who I really believe care about other artists and their work. Please ask them for help with this – I’m hoping that maybe they can talk some sense into the men who are exercising tyrannical control over someone who just wants to play the music she wrote. I’m especially asking for help from The Carlyle Group, who put up money for the sale of my music to these two men.

I just want to be able to perform MY OWN music. That’s it. I’ve tried to work this out privately through my team but have not been able to resolve anything. Right now my performance at the AMAs, the Netflix documentary and any other recorded events I am planning to play until November of 2020 are a question mark.

I love you guys and I thought you should know what’s been going on.”

Big Machine responded today (November 15) denying Swift's allegation regarding the use of her earlier recorded music on the label's site denying what Swift is saying regarding the use of her earlier recorded music on the American Music Awards and in the Netflix special.

Below is what they wrote:

As Taylor Swift’s partner for over a decade, we were shocked to see her tumblr statements yesterday based on false information. At no point did we say Taylor could not perform on the AMAs or block her Netflix special. In fact, we do not have the right to keep her from performing live anywhere. Since Taylor’s decision to leave Big Machine last fall, we have continued to honor all of her requests to license her catalog to third parties as she promotes her current record in which we do not financially participate.

The truth is, Taylor has admitted to contractually owing millions of dollars and multiple assets to our company, which is responsible for 120 hardworking employees who helped build her career. We have worked diligently to have a conversation about these matters with Taylor and her team to productively move forward. We started to see progress over the past two weeks and were optimistic as recently as yesterday that this may get resolved. However, despite our persistent efforts to find a private and mutually satisfactory solution, Taylor made a unilateral decision last night to enlist her fan base in a calculated manner that greatly affects the safety of our employees and their families.

Taylor, the narrative you have created does not exist. All we ask is to have a direct and honest conversation. When that happens, you will see there is nothing but respect, kindness and support waiting for you on the other side. To date, not one of the invitations to speak with us and work through this has been accepted. Rumors fester in the absence of communication. Let’s not have that continue here. We share the collective goal of giving your fans the entertainment they both want and deserve.”

Swift's publicist Tree Paine issued the statement today (November 15) saying Big Machine Label Group's claim that the label did not try to block Swift from performing songs from her catalog recording during her time as a BMLG artist during the upcoming American Music Awards on November 24, as well as keeping her from using her older material on the Netflix special.

Paine said to BMLG's statement saying, “they never actually deny either claim Taylor said last night in her post.” Paine also says “an independent, professional auditor has determined that Big Machine owes Taylor $7.9 million dollars of unpaid royalties over several years.”

She continues, "“The truth is, on October 28, 2019 at 5:17 p.m. the Vice President, Rights Management and Business Affairs from Big Machine label group sent Taylor Swift’s team the following: ‘Please be advised that BMLG will not agree to issue licenses for existing recordings or waivers of its re-recording restrictions in connection with these two projects: The Netflix documentary and The Alibaba ‘Double Eleven’ event.’ To avoid an argument over rights, Taylor performed three songs off her new album "Lover" at the Double Eleven event as it was clear that Big Machine Label Group felt any televised performance of catalog songs violated her agreement. In addition, yesterday Scott Borchetta, CEO and founder of Big Machine Label Group, flatly denied the request for both American Music Awards and Netflix.“Please notice in Big Machine’s statement, they never actually deny either claim Taylor said last night in her post. Lastly, Big Machine is trying to deflect and make this about money by saying she owes them but, an independent, professional auditor has determined that Big Machine owes Taylor $7.9 million dollars of unpaid royalties over several years.”

Stay tuned.

Beasley Broadcast Gorup Reports Record Third Quarter Net Revenue of $66.1 Million

Beasley Broadcast Group, Inc. has announced operating results for the three-month and nine-month periods ended September 30, 2019.

The $1.0 million, or 1.5%, year-over-year increase in net revenue during the three months ended September 30, 2019, reflects increased revenue in the Company’s Philadelphia, Detroit, Boston, Charlotte, Fayetteville, and Wilmington market clusters. Net revenue for the three months ended September 30, 2019 was comparable to net revenue for the same period in 2018 at the Company’s other market clusters.

Beasley reported operating income of $9.4 million in the third quarter of 2019 compared to operating income of $9.3 million in the third quarter of 2018 as higher net revenue and lower station operating expenses in the 2019 period more than offset a rise in corporate general and administrative expenses and depreciation and amortization expenses during the period. Third quarter 2019 interest expense increased by approximately $0.3 million to $4.4 million reflecting additional borrowings related to recent acquisitions.  Beasley reported net income of $3.0 million, or $0.11 per diluted share in the three months ended September 30, 2019, compared to net income of $2.6 million or $0.10 per diluted share in the three months ended September 30, 2018. The increase was primarily due to expenses related to a securities offering in 2018.

Station Operating Income (SOI, a non-GAAP financial measure) increased 12.7% year-over-year in the third quarter of 2019. The year-over-year increase is primarily attributable to higher revenue in the 2019 third quarter and lower station operating expenses related to $1.7 million of non-recurring bad debt expense that was recorded in the comparable 2018 period, partially offset by higher expenses at recently acquired stations.

Commenting on the financial results, Caroline Beasley, Chief Executive Officer, said, “Throughout the third quarter, we continued to advance our revenue diversification initiatives and actively manage our local radio broadcasting and digital platforms, while implementing our operating disciplines at recently acquired stations to drive SOI growth and margin expansion. Record third quarter net revenue of $66.1 million was driven by the strength of our station clusters in four of our top five largest revenue markets, as well as contributions from recent acquisitions and more than offset the approximate $0.9 million of combined political, spectrum and United States Traffic Network traffic revenue recorded in the 2018 third quarter, which did not recur in the 2019 third quarter. Reflecting the strong operating leverage in Beasley’s business model and the non-recurrence of the bad debt charge recorded in last year’s third quarter our 1.5% revenue growth drove a 12.7% year-over-year increase in SOI and overall margin improvement.

“We remain focused on strong local programming to support our goals of ratings and market leadership across all of our audio platforms, while making strategic investments to expand our digital capabilities to better serve our listeners and advertisers. On August 31, we completed the accretive and deleveraging acquisition of WDMK-FM, which is complementary to our three existing radio stations and digital operations in Detroit and moves us closer to our goal of achieving 30% revenue share in the market. The integration is proceeding according to plan, and we look forward to realizing the benefits of the transaction as we move into 2020. The success we are achieving through our disciplined approach to acquisitions is further reflected by the 24% year-over-year increase in pro-forma third quarter revenues at WXTU-FM, which returned to our Philadelphia cluster just one year ago. Overall, we are extremely pleased with the value we are extracting from recent transactions, which have enhanced our revenue share and competitive position in several key markets.

“Third quarter results also began to reflect financial contributions related to our new and expanding digital development and diversification initiatives. Beasley generated a year-over-year increase in digital revenue of approximately 37%, with digital now accounting for 7.4% of total revenue, compared to 5.4% of total revenue in the prior year period. Going forward, we remain committed to increasing digital share of total revenue as we continue to aggressively roll out our digital transformation strategy across the organization.  Our strategies are targeted at expanding our production of quality content, growing audiences and strengthening our digital sales support teams to deliver custom, multi-platform turnkey marketing solutions to advertisers and brands.

“In addition to our growth and diversification initiatives, we remain committed to enhancing shareholder value through capital returns and leverage reduction. In the third quarter, we used cash from operations to pay our twenty-fourth consecutive quarterly cash dividend and made voluntary debt repayments of $2.5 million, with total outstanding long-term debt of $253 million as of September 30, 2019.

“Looking ahead, Beasley has built a solid foundation to continue pursuing a range of near- and long-term growth opportunities that create new value for our listeners, advertisers, online users, eSports fans and shareholders. Beasley’s ongoing initiatives to drive sales, productivity, diversification and efficiency across our platform, combined with prudent management of our capital structure, is a proven formula for sustained long term financial growth and enhanced returns for our shareholders.”
